This website is operated by Uptiq, a DBA of NASF LLC (“Uptiq”, “we”, “us”, or “our”). Uptiq provides the website at https://www.uptiq.io and related services, information, tools, and features (collectively, the “Services”).
By visiting the Site and/or purchasing or subscribing to anything from us, you engage in the Services and agree to be bound by these Terms of Service (the “Terms”), including any additional terms and policies referenced or linked herein (e.g., Privacy Policy and Refund Policy).

If you do not agree to these Terms, do not access or use the Services.

1. Eligibility & Acceptance

By using the Services, you represent that you are at least the age of 18 years old (b) legally able to enter into these Terms. If you permit a minor to use the Services, you are responsible for the minor’s activity.

5. Online Store; Orders; Subscriptions & Auto-Renew

5.1 Orders & Limits

We may refuse, limit, or cancel orders at our discretion (e.g., suspected fraud, reseller activity). If we modify or cancel an order, we may attempt to notify you via the email and/or billing details you provided.

5.2 Prices, Taxes, & Availability

Prices, promotions, and availability may change without notice. You are responsible for applicable taxes, duties, and fees.

5.3 Subscriptions & Auto-Renew

Some Services are offered as subscriptions that auto-renew at the then-current price unless canceled in accordance with your account settings or by contacting support@uptiq.io before the renewal date. By subscribing, you authorize recurring charges to your payment method until you cancel.

5.4 Trials & Promotions

If a free trial or promotional offer applies, it will convert to a paid subscription at the end of the trial unless you cancel before it ends. We reserve the right to determine eligibility and to modify or terminate promotions.

5.5 Refunds & Cancellations

Refunds (if any) are governed by our Refund Policy: https://uptiq.io/refund_returns/ . Please review it carefully before purchasing or subscribing.

6. Payments

Payments are processed by third-party processors (e.g., card networks, wallets). We do not store full payment card numbers. You authorize us (and our processors) to charge your selected payment method for purchases, subscriptions, taxes, and fees. Transactions may be declined or reversed per processor or bank rules.

7. Product/Service Descriptions; Accuracy

We try to present information accurately, but errors, inaccuracies, or omissions may occur (including pricing, descriptions, and availability). We may correct any errors and update information without prior notice. Historical content may not be current and is provided for reference only.

8. License & Acceptable Use

If you submit content, ideas, or feedback (collectively, “User Content”), you grant Uptiq a worldwide, perpetual, irrevocable, royalty-free, sublicensable license to use, reproduce, modify, publish, distribute, and display such User Content for any lawful purpose, without compensation to you. We may—but are not obligated to—monitor, remove, or edit User Content at our discretion.

11. Optional Tools

We may provide access to optional third-party tools “as is” and “as available,” without warranties or liability. Use of optional tools is at your own risk and subject to the third party’s terms.

(a) for any unlawful purpose; (b) to violate any applicable laws, regulations, or industry rules; (c) to infringe IP or privacy rights; (d) to harass, defame, or discriminate; (e) to submit false or misleading information; (f) to upload or transmit malware; (g) to collect or track others’ personal information without consent; (h) to spam or scrape; (i) for obscene or immoral purposes; or (j) to circumvent security or access controls. We may suspend or terminate your access for violations.

13. Third-Party Services & Links (Plugins, APIs, Payments)

The Services may include third-party materials, websites, plugins, APIs, or integrations. We are not responsible for examining or evaluating third-party content or services, and we are not liable for any related losses or damages. Review third-party terms and privacy policies before engaging in transactions. Questions or complaints about third-party products/services should be directed to the third party.

14. Intellectual Property; DMCA

The Services and all content therein (including software, algorithms, text, graphics, logos, and trademarks) are owned by or licensed to Uptiq and are protected by IP laws. Except as expressly permitted, you may not use our marks or content without our prior written consent.
If you believe content infringes your copyright, send a DMCA notice to support@uptiq.io with: (a) your signature; (b) identification of the copyrighted work; (c) identification of the allegedly infringing material; (d) contact information; (e) a statement of good-faith belief; and (f) a statement that the information is accurate and you are authorized to act for the copyright owner.

15. Disclaimers (Services & Trading); No Investment Advice

  • AS-IS / AS-AVAILABLE. The Services are provided “as is” and “as available” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, title, non-infringement, accuracy, or reliability. We do not warrant uninterrupted, timely, secure, or error-free operation.
  • Algorithms & Tools. Our algorithms, strategies, signals, and tools are informational and do not guarantee performance. Configuration, inputs, brokerage execution, slippage, latency, and market conditions can materially affect outcomes. Past performance is not indicative of future results.
  • No Investment, Legal, or Tax Advice. Uptiq is not a broker-dealer, investment adviser, or fiduciary and does not provide personalized investment advice. You are solely responsible for your decisions. Consult a qualified financial, legal, or tax professional before trading.
  • Backtests & Simulations. Any backtested or simulated results have inherent limitations and may differ materially from real-world results.
  • User Responsibility. You are responsible for testing, configuring, and monitoring any algorithm or tool you deploy and for implementing risk controls (e.g., stops, position sizing).

16. Limitation of Liability

To the maximum extent permitted by law, in no event will Uptiq, NASF LLC, or their officers, directors, employees, agents, contractors, affiliates, licensors, or service providers be liable for indirect, incidental, special, consequential, exemplary, or punitive damages (including lost profits, revenue, savings, data, or goodwill), arising out of or related to the Services or these Terms, even if advised of the possibility.
To the extent any liability is not legally excludable, our total aggregate liability for all claims arising out of or relating to the Services or these Terms shall not exceed the greater of: (a) the amount you paid to Uptiq for the Services in the three (3) months preceding the event giving rise to liability; or (b) $100.

Some jurisdictions do not allow certain limitations; in such cases, the limitations apply to the fullest extent permitted by law.

17. Indemnification

You agree to indemnify, defend, and hold harmless Uptiq, NASF LLC, and their officers, directors, employees, agents, affiliates, contractors, licensors, and service providers from and against any claims, losses, liabilities, damages, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Services; (b) your breach of these Terms or applicable law; or (c) your violation of any third-party right.

18. Termination

We may suspend or terminate the Services or your access at any time, including for suspected violations of these Terms. You may stop using the Services at any time. Sections that by their nature should survive (e.g., IP, disclaimers, limitation of liability, indemnity, dispute resolution) shall survive any termination.

19. Governing Law; Dispute Resolution (Arbitration & Class Action Waiver)

These Terms are governed by the laws of the United States and, to the extent not preempted, the laws of the state where NASF LLC is organized without regard to conflicts of laws principles.

Binding Arbitration. Any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. Location: a mutually agreed U.S. location or via remote video unless required otherwise by law. Language: English.
Exceptions: You may pursue an individual claim in small-claims court (if eligible) or seek injunctive relief for IP misuse.

Class Action Waiver. Disputes must be brought only in an individual capacity and not as a plaintiff or class member in any purported class or representative proceeding. The arbitrator may not consolidate claims or preside over any form of representative or class proceeding.

30-Day Opt-Out. You may opt out of arbitration/class-action waiver by emailing support@uptiq.io within 30 days of first accepting these Terms, stating your name and the email used with your account.

20. Electronic Communications; E-Sign Consent

You consent to receive communications from us electronically (e.g., email, in-app messages). You agree that all notices, disclosures, and agreements we provide electronically satisfy any legal requirement that such communications be in writing.

21. Export & Sanctions Compliance

You represent that you are not located in, under control of, or a national/resident of any country or entity subject to U.S. embargoes or sanctions and that you will comply with U.S. export controls and sanctions laws when using the Services.

22. Force Majeure

We are not liable for any delay or failure to perform due to events beyond our reasonable control (e.g., acts of God, labor disputes, power or Internet failures, third-party service outages, war, public health emergencies, or governmental actions).

23. Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms to an affiliate or in connection with a merger, sale, or other corporate transaction.

24. Severability; Waiver

If any provision is unlawful, void, or unenforceable, it will be enforced to the maximum extent permitted, and the remaining provisions will remain in full force. Our failure to enforce any right is not a waiver.

25. Entire Agreement

These Terms, together with any policies referenced herein (e.g., Privacy Policy, Refund Policy), constitute the entire agreement between you and Uptiq regarding the Services and supersede all prior or contemporaneous understandings.

License Use & Anti-Sharing Policy

Uptiq strategies are licensed software products and are provided for use solely by the original purchaser. Strategy files, license credentials, or related materials may not be shared, transferred, sublicensed, resold, or otherwise made available to any third party.

Each license is issued for individual use and is tied to specific activation parameters as determined by Uptiq.

Unauthorized Use & License Enforcement

Any attempt to:

  • Share strategy files or license credentials with third parties
  • Circumvent license controls or activation limits
  • Activate a strategy across multiple accounts, devices, or environments beyond the permitted license scope

may result in immediate license deactivation.

Uptiq reserves the right, at its sole discretion, to suspend or permanently deactivate licenses found to be in violation of these terms. No refunds, credits, or replacements will be issued in cases of license deactivation resulting from policy violations.

Uptiq may employ technical measures to monitor license usage for compliance with these terms.

Uptiq does not provide investment advice, financial advice, trading advice, or personalized recommendations. Nothing on this website, within any strategy, documentation, communication, or support interaction should be construed as a recommendation to buy, sell, or hold any financial instrument.

Trading in financial markets involves substantial risk, including the potential loss of some or all invested capital. Past performance, backtest results, simulations, or hypothetical performance are not indicative of future results. Backtested data is based on historical market conditions and assumptions that may not reflect live trading conditions, including but not limited to slippage, liquidity constraints, execution delays, spreads, commissions, and market volatility.
